Code of Ethic

This Code of Ethics sets out the fundamental rules for responsible conduct at Miroslavská strojírna, spol. s r.o. Its purpose is to foster a corporate culture based on integrity, transparency and responsible decision-making, as well as a consistent approach to environmental protection, social responsibility, mutual respect, and compliance with legal and internal requirements. 

The principles set out in this Code of Ethics are binding on all representatives and employees of the company, as well as on business partners and other persons acting on its behalf. Compliance with the principles of the Code of Ethics is required in all internal processes and in dealings with customers, external partners and the public. The aim is to ensure the company's long-term sustainable operation and to create an appropriate working environment. 

SOCIAL RESPONSIBILITY 

Working Conditions 

The company considers fair, safe and transparent working conditions to be the foundation of responsible business. All employment relationships are established and managed in accordance with applicable legislation, internal company rules and the principles of decent and responsible conduct. 

Work for the company may only be performed on the basis of a duly established employment relationship. Illegal work, disguised employment or other practices that circumvent legal requirements or disadvantage employees are not permitted. 

We ensure that employment contracts, agreements and related documents are worded clearly and unambiguously. Employees must have the opportunity to familiarise themselves with their working conditions, the scope of their rights and obligations, remuneration rules, working hours and other essential elements of the employment relationship. 

Employees are remunerated fairly, on time and in accordance with the agreed terms and applicable legislation. The company fulfils its statutory obligations regarding contributions, particularly those related to social security and health insurance, and provides employees with the necessary information about their salary or remuneration. 

The organisation of working time must respect statutory limits and protect employees' health. We monitor compliance with the rules governing work breaks, rest periods between shifts, public holidays, overtime, work on public holidays, night work and other special working arrangements. Overtime is used only in justified cases and must not replace proper workforce planning. All overtime must be properly recorded and compensated in accordance with applicable law. 

We strive to prevent overwork and ensure that overtime does not endanger employees' health or private lives. Work-life balance is considered essential to long-term employee satisfaction and productivity. Where the nature of the work and operating conditions allow, we promote suitable measures such as flexible working hours, reasonable working schedules or other organisational arrangements. 

Human Rights and the Prohibition of Forced or Involuntary Labour 

We reject all forms of forced, involuntary, illegal or child labour. We ensure compliance with statutory minimum-age requirements and create working conditions that respect the dignity, rights and legitimate interests of employees and meet legal requirements and internationally recognised standards. 

We expect the same responsible approach from our suppliers and business partners. We take these principles into account in their selection and evaluation to the greatest extent possible. 

Employee Health and Safety 

We regard a safe and healthy working environment as one of our fundamental responsibilities. This responsibility extends not only to our own employees but also to other persons working at the company's premises or usual workplaces. 

We place great emphasis on preventing occupational accidents, occupational diseases and other risks associated with the performance of work. Appropriate technical, organisational and preventive measures are taken to identify, assess and mitigate risks in work activities. 

Occupational safety is regarded as a shared responsibility of the company, managers and individual employees. We encourage employees to take an active approach to complying with occupational health and safety rules, reporting hazardous situations and contributing to improvements in workplace safety. Regular training and emergency preparedness exercises are organised to ensure that employees have sufficient awareness of occupational health and safety. 

Across all company activities, we monitor and evaluate compliance with applicable occupational health and safety requirements. Regular workplace inspections and audits are carried out for this purpose, with particular attention paid to safe working conditions, an appropriate working environment and compliance with hygiene requirements. 

Protection of Vulnerable Groups of Employees

We pay particular attention to protecting employees who are minors. Work may be assigned only to the extent and under conditions appropriate to their age, state of health, physical maturity and intellectual development. We ensure that minor employees do not perform hazardous or prohibited work that could endanger their health, safety or further development. The working conditions of young employees must be designed to support their safe participation in the work process, the acquisition of professional experience, and their continued personal and professional development. 

We also place great importance on protecting pregnant employees, breastfeeding employees and employees who have recently given birth. These employees may not be assigned hazardous or prohibited tasks that could endanger their health, pregnancy or the health of the child. Taking the individual circumstances and legal requirements into account, appropriate measures are adopted to adjust working conditions, duties or work organisation, ensure that work can be performed safely, accommodate the needs associated with pregnancy, maternity and childcare, and enable a safe and appropriate return to work.

Data Protection 

We are committed to protecting the personal data of employees, business partners, customers and other persons whose personal data we process. When handling personal data, we act in accordance with applicable law, in particular the General Data Protection Regulation (GDPR). 

We collect, process, store and transfer personal data only to the extent necessary for the stated purpose and for a period consistent with legal requirements or the company's legitimate needs. We take appropriate technical and organisational measures to protect personal data against unauthorised access, loss, misuse, damage or unauthorised disclosure. 

We ensure that personal data is accessible only to authorised persons who are required to maintain confidentiality and handle the data responsibly and securely. We respect the rights of data subjects and ensure that personal data is transferred to third parties only in accordance with applicable legislation. 

Responsibility to Customers 

We regard the quality of our products and services as one of the fundamental prerequisites for a successful business. Our aim is to supply products and provide services that meet customers' required standards. We focus on continuously improving workflows, control mechanisms and the overall standard of the products and services we offer. 

The safety of our products is essential, and we ensure that all our products are safe to use and comply with the relevant standards and regulations. For this purpose, we conduct thorough testing and quality controls. 

Our approach to customers is based on professionalism, reliability and solutions tailored to individual requirements. We seek to build long-term customer relationships founded on trust, fair dealing, timely communication and responsible handling of their requirements. We also ensure that the complaints procedure is straightforward and prompt and that our customers are satisfied with the proposed solution. 

CORPORATE GOVERNANCE

Business Ethics and Anti-Corruption Principles

We practise honesty and transparency in all business relationships in accordance with ethical principles. Any conduct based on manipulation, misrepresentation of facts, concealment of material information or provision of false information is prohibited. We pursue a zero-tolerance policy towards bribery, corruption, extortion, embezzlement and other forms of dishonest or illegal conduct. 

We apply anti-corruption principles and emphasise the proper reporting of suspected unethical, corrupt or illegal acts. All employees have the right and duty to report such suspicions through the designated channels. 

Insider Trading 

We strictly prohibit any use of non-public information for personal gain or for the benefit of another person. Persons who become aware of internal or otherwise non-public information in the course of their work may not use it for securities trading or for any other action that could violate the law or the principles of fair business conduct. 

Non-public information may not be disclosed to unauthorised persons, including family members, friends, business partners or other third parties. Anyone with access to such information is required to maintain confidentiality and handle it exclusively in accordance with the law and internal company rules. 

Intellectual Property 

We recognise the importance of intellectual property and are committed to protecting both our own rights and those of business partners and third parties. Intellectual property includes, in particular, patents, trademarks, copyrights, designs, trade secrets, know-how and other results of creative or innovative activity. 

Information Protection 

We take great care to protect information, information systems, documentation, data and other assets entrusted to us against unauthorised access, misuse, loss, damage or unauthorised disclosure. 

We protect information to ensure its confidentiality, integrity and availability, both when it is handled internally and when it is shared with contractors, suppliers and other authorised persons. For this purpose, we apply appropriate organisational, technical and personnel measures that apply both to employees and to other persons who have access to company information or information entrusted to the company. 

We support systematic employee training in information security. Employees are encouraged to identify security risks, handle information responsibly and comply with the rules established for its protection. 

Suppliers and Business Partners 

We seek to work with suppliers and business partners who act responsibly and transparently and comply with requirements concerning quality, ethical conduct and legal compliance. When establishing and developing business relationships, we give preference to reputable and trustworthy partners who can be expected to fulfil their contractual and legal obligations reliably. 

For this purpose, the company applies appropriate procedures for selecting, reviewing and regularly evaluating suppliers. The evaluation considers, in particular, fulfilment of contractual terms, compliance with legal and internal requirements, the quality of the products or services offered, and a responsible approach to business cooperation. 

Financial and Non-Financial Controls 

We regard transparent management of financial processes, accurate records and effective control procedures as essential elements of the company's responsible operation. All financial and business transactions must be carried out in accordance with applicable legislation, internal rules and approved procedures. 

We ensure that every financial transaction is properly documented and supported by the relevant records. All business transactions must be recorded accurately, truthfully and completely in the accounts. The relevant documents must be retained for the prescribed period and in an appropriate manner. 

We apply control mechanisms, particularly to the approval of financial transactions, the conclusion of contracts, orders, payments and other important decisions. Approval procedures must be based on complete, verifiable and factually correct documentation. Significant decisions are subject to appropriate multi-level review to increase transparency and accountability and to prevent errors, misuse or dishonesty. 

Conflicts of Interest 

We place great importance on preventing conflicts between the work-related activities of employees and others acting on behalf of the company and their private activities. Private activities, financial interests or personal relationships must not adversely affect their ability to perform work duties objectively and in the company's best interests. If a situation arises that could constitute a conflict of interest, the person concerned must report it immediately. 

Gifts and Hospitality 

We comply with applicable legislation, internal requirements and the rules of our business partners concerning the giving and acceptance of gifts, hospitality or other benefits. 

Gifts and hospitality may be given or accepted only when they are reasonable, transparent and appropriate to the situation and customary business practice. They must never improperly influence business decisions or create the appearance of doing so. 

Giving or receiving cash gifts is prohibited. Gifts, hospitality or other benefits that exceed established limits, have substantial value or are likely to raise doubts about the impartiality of decision-making must be reported in the prescribed manner. 

Any breach of this policy, including attempted bribery, improper influence or circumvention of the rules, is unacceptable and may result in appropriate action. 

Whistleblowing 

We provide support and protection to persons who report in good faith a possible conflict of interest, bribery, ethical breach or other illegal or improper conduct. Whistleblowers must not face punishment, disadvantage or any other form of retaliation for submitting a report. 

Compliance with these rules is essential to maintaining a transparent, trustworthy and ethical environment that protects the legitimate interests of the company, its employees and other persons concerned. 

ENVIRONMENTAL PROTECTION 

Responsible Management of Natural Resources 

In our activities, we strive to use natural resources, raw materials and energy carefully and to reduce negative environmental impacts. We support technical and organisational solutions that contribute to environmental protection, more efficient use of resources and the company's long-term sustainable operation. A responsible approach to the environment is applied in day-to-day decision-making as well as in the development of the company's production and operating activities. 

Reducing Environmental Impacts and Preventing Pollution 

We place great importance on preventing pollution, reducing waste generation, and promoting reuse or recycling wherever technically and operationally feasible. When planning and implementing activities, we also consider the impacts associated with the use of products and their life cycle. 

Prevention of Accidents and Emergencies 

We ensure that chemicals and mixtures are handled safely, responsibly and in accordance with established requirements. We pay attention to their proper storage, labelling and use and to preventing releases into the workplace and the environment. We apply emergency procedures in the event of accidents, leaks of hazardous substances or other emergencies with potentially adverse environmental impacts. We encourage employees to report such events promptly and comply with the established preventive measures. 

COMMITMENT OF COMPANY MANAGEMENT

The company's management undertakes to apply and promote the principles of this Code of Ethics as an integral part of management, corporate culture and day-to-day decision-making. It also undertakes to support open communication, prevent unethical conduct and consistently insist on compliance with the rules of the Code of Ethics in practice. 

Company management will ensure that employees and other persons concerned are informed clearly and demonstrably about these principles and that awareness of responsible, lawful and ethical conduct is continuously strengthened. 

The Code of Ethics was discussed and approved by company management in Miroslav on 15 May 2026.
